Partner Program Terms

1. Scope and operator

These Terms govern participation, referral activities, and referral commissions under the ZipUpp Partner Program operated by Nagasaki Private Tours Co.,Ltd. (the “Company”). Use of ZipUpp itself is also subject to its service terms. These Terms take precedence for matters specific to the Partner Program. Personal information is handled under the Partner Program Privacy Policy.

2. Eligibility and participation costs

Participants must be individuals aged 18 or older with legal capacity to enter into a contract under the laws of their place of residence, or lawfully established legal entities. Anyone registering on behalf of an entity must have the necessary authority. Registration details, country of residence, and payment information must be accurate and kept up to date. Participation is free. Purchasing products or paid services, paying a joining fee, or meeting a recruitment quota is not a condition of participation. Participation requires the Company’s review and approval.

3. Referral activities and two types of links

Participants receive a link for referring service users, including candidates and companies, and a separate link for referring prospective partners. Registering another partner does not itself generate a commission. Commissions arise from qualifying use by real referred users as specified in these Terms. The program does not guarantee employment, hiring, service revenue, or any level of earnings.

4. Referral attribution

Users who register through a referral link qualify as referrals without a time limit. The referral relationship established at registration is maintained thereafter.

5. Qualifying activity and review period

Candidate referrals must satisfy the qualification requirements disclosed in advance, including email verification, completion of required profile information, genuine activity within the service, and duplicate and fraud checks. Company referrals must likewise involve a genuine company registration, the required information and qualifications, and fraud checks. Link clicks alone, incomplete registrations, and fictitious or duplicate accounts do not qualify. A review period of generally 30 days begins when the required conditions have been met. Commissions remain pending during that period. Where additional checks are needed, the review may be extended, with reasonable information about its status and reasons. The passage of 30 days alone does not automatically make a commission payable.

6. Direct referral commissions by country

Japan program: JPY 100 per qualified candidate, JPY 500 per qualified company, and an additional JPY 1,000 for the company’s first eligible paid service use. The minimum payout amount is JPY 10,000. United States program: USD 1 per qualified candidate, USD 5 per qualified company, and an additional USD 10 for the company’s first eligible paid service use. The minimum payout amount is USD 100. The first-paid-use commission applies to Detailed Screening and is available only once for each eligible company. It does not apply to every payment, recurring subscription charge, or ineligible service. Successful payment and checks for refunds and similar events are required.

7. Applicable country and currency

The country applicable to a qualifying event is determined by the referred candidate’s country of registration or the referred company’s billing country. A partner cannot select a commission amount or currency merely through their own registration country, the page language, or the Japan/US page switch. Registration or billing countries must not be misrepresented. The applicable country, currency, and commission-terms version are recorded for each event. Japanese yen and US dollar balances are kept distinct; combining balances across currencies or automatic conversion is not guaranteed. A partner’s own country of residence is used separately to determine eligibility, identity verification, tax requirements, and payment methods.

8. Referral network allocation

The direct referrer receives 100% of the direct referral commission. The four levels above that referrer receive additional allocations of 20%, 10%, 5%, and 5%, respectively, calculated using the direct commission as the base. Up to five levels, including the direct referrer, are eligible. These additional allocations do not reduce the direct referrer’s 100% commission. For example, a JPY 100 candidate referral under the Japan program provides a calculation basis of JPY 100 for the direct referrer, followed by JPY 20, JPY 10, JPY 5, and JPY 5 for the four levels above. Each recipient must be eligible, and the underlying event must pass review.

9. Payouts and taxes

Only approved, unpaid commissions are eligible for payout. Pending commissions cannot be withdrawn. The applicable currency-specific minimum, identity and payment-destination verification, submission of necessary tax information, and payment review must be satisfied. Reasonable additional checks may be required, including where the registered name and payment recipient’s name differ. Payment methods, cutoff and payment dates, processing times, responsibility for transfer and currency-conversion fees, and withholding-tax treatment are set out in separately provided payment terms. Participants are responsible for reporting and paying taxes on their income. The Company will make deductions and reports required by law.

10. Invalid events, refunds, and disputes

If fraud, duplication, fabricated self-generated events, payment cancellation, refunds, or other failures to satisfy qualification conditions are confirmed, the Company may cancel or adjust all or the relevant part of the event, recording the reason. For commissions already paid, the Company may request repayment or adjustment against future commissions to the extent permitted by law, after notifying the participant of the basis and amount. These adjustments do not erase the transaction history. Participants may contact the Company with the relevant event ID to request investigation and reconsideration. Payments may be held to the extent necessary during an investigation. Legitimately approved commissions unrelated to fraud are not subject to blanket forfeiture.

11. Advertising disclosures and prohibited conduct

Disclose the commission relationship clearly and conspicuously, in a language the audience understands, near the relevant post, link, or other promotion. Promotions directed to Japan should use clear advertising labels such as “広告” or “PR.” Promotions directed to the United States must clearly explain the compensation relationship. Avoid disclosures that ordinary viewers are unlikely to notice, such as disclosures hidden only in a profile. False or exaggerated earnings or hiring guarantees, fabricated personal endorsements, impersonation, unauthorized brand or trademark use, spam, unauthorized collection of personal information, improper cookie placement, inflated clicks or qualifying events, fraudulent self-dealing, trading referral relationships, and unlawful solicitation are prohibited. Participants may not make unapproved promises on the Company’s behalf.

12. Intellectual property and independent activities

Referral materials provided by the Company may be used only as necessary for lawful promotional activities under this program. Respect third-party copyright, trademark, and privacy rights. Participation does not establish employment, agency authority, a joint venture, or a franchise relationship. Participants bear their own activity costs and legal obligations.

13. Information security and confidentiality

Protect account credentials, nonpublic business information, and personal information received. Do not disclose them unnecessarily to third parties or use them for unrelated purposes. Participation does not confer a right to obtain candidates’ application documents or private profiles for commission verification. Notify the Company promptly if you become aware of a suspected information leak or unauthorized access.

14. Suspension, withdrawal, and termination

Participants may leave the program through the contact channel or an available withdrawal procedure. The Company may restrict activities or payouts to the extent necessary in response to serious violations, reasonable suspicions of fraud, legal requirements, or security needs. Except in urgent circumstances, the Company will explain the reason and available response steps. After withdrawal or program termination, review of existing events, legitimately approved unpaid commissions, cancellations, refunds, and legally required record retention will be handled under the applicable conditions.

15. Liability and changes to these Terms

The Company will operate the program with reasonable care but does not guarantee referral results or income. Each party is responsible under applicable law for damage arising from violations attributable to that party. Nothing excludes liability for the Company’s intentional misconduct or gross negligence, or any liability that cannot be excluded under mandatory law. Changes to commissions or the program will be notified in advance, including their content, effective date, and affected events. Unfavorable new conditions will not automatically apply retroactively to events that have already occurred. Renewed consent will be obtained where required, and the accepted version will be recorded.

16. Governing law and regional rights

For participants residing or located in Japan, Japanese law governs these Terms, and the Nagasaki District Court has exclusive agreed jurisdiction at first instance. This does not prevent access to courts or procedures available under mandatory law. The rights of United States participants under mandatory federal, state, and local law are not restricted. For other matters, the foregoing provisions apply to the extent permitted by law.
